Welcome to cliqlang.com (“we,” “our,” “us,” or “cliqlang”). These Terms of Service (“Terms”) govern your use of our website, online learning platform, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree with these Terms, you must not use our Service.

Legal Entities

cliqlang is represented by two legal entities:

• Individual entrepreneur Pogorilyi Oleksandr, registered in Ukraine.
• cliqlang Lesya Pohorila, registered in Poland.

Both entities collaborate to provide the services offered on the platform. Any references to “cliqlang” in these Terms of Service apply to both legal entities.

1. Acceptance of Terms

By accessing or using cliqlang.com, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. You also agree to be responsible for compliance with any local laws.

Eligibility:

• You must be at least 18 years of age to use the Service.
• You must provide accurate and complete registration information, and you are responsible for maintaining the confidentiality of your account.

2. Definitions

• Platform: Refers to the cliqlang.com website, learning management system (LMS), and any associated services.
• User: Refers to individuals accessing and using the platform, including learners, instructors, and visitors.
• Learners: Individuals enrolled in courses.
• Instructors, Tutors: Professionals providing courses through our platform.
• Content: Includes but is not limited to videos, text, quizzes, assignments, and user data provided through the platform.

3. Account Registration

To access certain features of our Service, such as enrolling in courses, you are required to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information.
• Be solely responsible for all activities that occur under your account.

cliqlang reserves the right to suspend or terminate your account at our discretion, particularly in cases of violations of these Terms.

4. Services Provided

cliqlang.com offers interactive, group-based English language learning courses delivered through live video sessions. The courses include pre-recorded and downloadable materials, quizzes, and exercises.

• Course Availability: Course availability is subject to change. We do not guarantee that all courses advertised will be available at all times.
• Course Access: Upon enrolling, you will receive access to course materials, which may include videos, quizzes, and supplemental content, for the duration of the course.
• Lifelong Access: Learners will have lifelong access to completed course materials, unless stated otherwise or if the course is removed due to regulatory or legal concerns.

5. Payments, Fees, and Taxes

Payments for courses are processed through third-party payment gateways such as WooCommerce and Wayforpay. By making a purchase, you agree to the following:

• Payment Obligations: You agree to pay all fees and applicable taxes for the courses you purchase.
• Currency: All prices listed on the platform are in US dollars (USD), and any currency conversion fees will be borne by you.
• Payment Methods: We accept credit cards, debit cards, and other forms of payment as specified during the checkout process.

Failure to pay in full may result in suspension or termination of your account or access to the courses.

6. Refund and Cancellation Policy

Refunds and Cancellations:

• A full refunds will be issued only up to 48 hours before the course begins. Requests must be made through your account dashboard or by contacting our support team at studentcare@cliqlang.com
• You may cancel your enrollment in a course up to 48 hours before it begins to receive a full refund. If you cancel after the first class, you will be eligible for a refund, minus the cost of the first class and any applicable administrative fees. No refunds will be issued after the second class has commenced, except in cases of extenuating circumstances.
• Course Postponement or Rescheduling: cliqlang reserves the right to reschedule or cancel classes. In such cases, learners will have the option to attend the rescheduled class or receive a prorated refund.
• Minimum Enrollment Requirement: Each course has a specified minimum number of students required for it to proceed. If the minimum enrollment is not met 24 hours before the course begins, cliqlang reserves the right to cancel the course, in which case all enrolled learners will receive a full refund.

Non-Refundable Services:

• Any services such as 1-on-1 tutoring sessions or customized services are non-refundable once scheduled.

7. Course Delivery and Instructor Responsibilities

cliqlang connects learners with experienced instructors who are responsible for course delivery.

• Course Content: Instructors are required to provide high-quality course materials and live sessions according to the course description.
• Session Delays or Cancellations: If an instructor is unable to deliver a live session, learners will be notified in advance, and a rescheduled session will be offered.
• Feedback and Evaluation: Learners may provide feedback and evaluations of instructors, but cliqlang reserves the right to moderate and remove reviews deemed inappropriate or fraudulent.

8. Platform Use and User Responsibilities

As a user of cliqlang, you agree to the following:

• Use Restrictions: You will not use our platform for any illegal, unethical, or abusive behavior. This includes spamming, harassment, or disruptive conduct in live courses.
• Personal Use Only: Access to the platform is for your personal use only. You may not share your account or access with others, unless explicitly authorized by cliqlang.
• Prohibited Activities: This includes unauthorized copying, redistribution, reverse engineering, or attempting to disrupt the platform’s functionality.

Violation of these rules may result in the suspension or termination of your account without prior notice.

9. Intellectual Property

All content provided on cliqlang.com, including course materials, videos, quizzes, text, logos, and design elements, are owned by cliqlang or its licensors and protected under intellectual property laws.

You may not:

• Copy, reproduce, distribute, or create derivative works from the content.
• Use our trademarks, logos, or other intellectual property without express written permission.

Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use the content for personal educational purposes only.

10. Data Usage and Privacy

By using our Service, you consent to the collection, storage, and use of your data as outlined in our Privacy Policy. This includes:

• Data Collection: We collect personal data, such as your name, email, and payment information, to facilitate your access to courses and other services.
• Usage Data: We may collect usage data such as IP addresses, device types, and browsing activity to improve the platform’s performance.

cliqlang takes appropriate security measures to protect your data. However, we are not responsible for unauthorized access due to your failure to protect your account credentials.

11. Third-Party Links and Services

cliqlang may include links to third-party websites or services. These third-party services are not owned or controlled by us, and we are not responsible for their content or practices. Accessing these services is at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, cliqlang and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business, arising from your use of the platform.

• No Warranties: We do not make any warranties regarding the accuracy, completeness, or reliability of the content provided on the platform.
• Course Interruptions: We are not responsible for any interruptions, delays, or errors in course delivery caused by technical issues, third-party services, or unforeseeable circumstances.

13. Dispute Resolution

Arbitration:

In the event of any dispute arising out of or relating to these Terms or your use of the Service, both parties agree to resolve the matter through binding arbitration under the rules of the [insert arbitration association or governing body].

Jurisdiction:

These Terms are governed by and construed in accordance with the laws of Poland, and you agree to submit to the exclusive jurisdiction of the courts in Krakow, Poland for the resolution of disputes.

15. Termination of Service

cliqlang reserves the right to suspend or terminate your access to the platform or your account at any time for violations of these Terms, or for any other reason we deem appropriate, with or without notice.

Post-Termination Access:

Upon termination, you will lose access to any course content, and we are under no obligation to provide refunds or account information.

16. Indemnification

You agree to indemnify, defend, and hold cliqlang, its affiliates, instructors, and employees harmless from any claims, damages, liabilities, costs, or expenses arising from your use of the Service or violation of these Terms.
